Tesseract Intelligence – Terms of Services

TESSERACT INTELLIGENCE – TERMS OF SERVICE

Effective: 01.04.2024 and revised 03.11.2025

Thank you for using Tesseract Intelligence. These Terms of Service (“Terms”) govern your access to and use of Tesseract Intelligence’s software-as-a-service (SaaS) platform, API, and related products and services (collectively, the “Service”). By using the Service, you agree to these Terms, which form a binding agreement between you (“Customer,” “you,” or “your”) and Tesseract Intelligence Ltd, a company incorporated in Bulgaria (“Tesseract,” “we,” “us,” or “our”).

If you do not agree to these Terms, you must not use the Service.

1. Eligibility and Account

  1. You must be at least 18 years old and legally able to enter into a binding contract.

  2. The Service is available only to verified government, law enforcement, intelligence, or authorized users and resellers.

  3. You must provide accurate and complete information during registration and keep it up to date.

  4. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

  5. Tesseract may refuse, suspend, or terminate access to the Service at any time for legitimate business or compliance reasons.

2. Scope of Service

Tesseract Intelligence provides investigative and analytical tools, including access to data through its API, reports, and web-based platform. These tools support intelligence, law enforcement, and cyber investigation professionals in analysing open-source, Telegram, and other DarkNet data.

Use of the Service is limited to lawful, authorized activities consistent with your organization’s official purpose.

3. Support

  • Tesseract provides email support for its API and platform at least twice per week during business hours (10:00–18:00, GMT+3).

  • Response time for support queries is typically within 24 hours.

  • Additional support may be available via phone, Zoom, or secure messaging channels subject to staff availability.

  • Support includes basic assistance with API implementation and client-side integration.

4. Availability

  • Tesseract targets 95% annual uptime for its SaaS and API services.

  • Planned maintenance or updates may result in temporary downtime; we aim to notify you at least 7 days in advance of any change that may require client-side adjustments.

  • Resource-intensive or complex queries may require additional consultation to optimize performance.

5. Terms of Payment

a. Pricing – Services are provided on a fixed-price or time-and-materials basis, as outlined in the applicable order, subscription, or SLA (Service Level Agreement) Any out-of-scope services must be agreed upon in writing.

b. Taxes – Prices exclude all applicable taxes, tariffs, or similar charges, which remain your responsibility (excluding taxes on Tesseract’s income).

c. Payment Schedule – Invoices are issued according to the schedule in the SLA (Service Level Agreement) or order form. If an invoice remains unpaid after its due date, Tesseract may suspend Services after giving 7 days’ written notice. Interest may be charged on overdue payments at 1.5% per month or the maximum rate permitted by law.

d. Title and Security Interest – Title to Deliverables passes only upon full payment. Tesseract retains a security interest until payment is complete.

6. Deliverables and Use of Data

  • You may integrate and use information and Deliverables obtained through the Service within your own systems and reports, without the need to credit Tesseract as the source.

  • Tesseract may provide the same or similar information to other clients, provided that confidentiality obligations are upheld and that the data was not sourced from your proprietary or restricted materials.

7. Acceptance of Deliverables

Deliverables (including data feeds, reports, or integrations) are deemed accepted once delivered unless you notify Tesseract of material nonconformities within five (5) business days. Tesseract will remedy valid issues within a reasonable timeframe and re-deliver corrected materials for re-testing.

8. Warranties

a. Tesseract warrants that its Deliverables will substantially perform as described in the relevant documentation or SLA. b. To its knowledge, Tesseract warrants that the Deliverables do not infringe any third-party intellectual property rights. c. Except as stated above, the Service is provided “as is” without any other express or implied warranties, including merchantability or fitness for a particular purpose.

9. Security

Tesseract implements standard security procedures to protect systems and client data, including:

  • Strong passwords (12+ characters)

  • Network firewalls and restricted access

  • Regular system updates and patching

  • System hardening and user minimization

  • Encrypted data exchange (SFTP, SSH, GnuPG, etc.)

  • Continuous monitoring for malicious activity

You agree to protect your access credentials and promptly report any suspected compromise.
Important: Files or data accessed through Telegram or DarkNet sources may contain malware. You are responsible for safeguarding your own systems when handling such content.

10. Confidentiality

Both parties agree to keep all confidential or proprietary information shared under this Agreement strictly confidential and to use it solely for the performance of this Agreement. This obligation does not apply to information that is publicly known, lawfully obtained from another source, or required to be disclosed by law.

11. Intellectual Property

All intellectual property rights in the Service, software, and documentation remain the exclusive property of Tesseract. You retain ownership of your own data and content uploaded or processed via the Service.

You grant Tesseract a limited license to use your data as necessary to provide and improve the Service.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Tesseract’s total cumulative liability arising out of or related to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

  • Neither party shall be liable for indirect, incidental, or consequential damages, including lost profits, data, or business interruption.

  • All claims must be brought within one (1) year of the cause of action arising.

13. Indemnification

  • You agree to indemnify and hold Tesseract harmless from any claims arising from your use of non-Tesseract content or materials provided to Tesseract that infringe third-party rights.

  • Tesseract will defend and indemnify you against third-party claims alleging that the Deliverables infringe intellectual property rights, provided that you promptly notify Tesseract and allow it to control the defense.

14. Termination

  • Either party may terminate the Service or any active project with 30 days’ written notice.

  • Upon termination, you remain responsible for all fees due up to the effective termination date and for any non-cancellable costs already incurred.

  • Tesseract may immediately suspend or terminate access if you breach these Terms and fail to cure the breach within 7 days of written notice.

Sections concerning confidentiality, intellectual property, limitation of liability, and governing law survive termination.

15. Force Majeure

Neither party is liable for delays or failure to perform due to causes beyond reasonable control, including but not limited to natural disasters, war, terrorism, power failure, government actions, or internet disruptions. Performance timelines will be extended accordingly.

16. Compliance with Law

You represent and warrant that your use of the Service will comply with all applicable laws, including data protection, privacy, and export control regulations. You agree not to use the Service for any unlawful purpose.

17. Subcontracting

Tesseract may use qualified subcontractors or service providers to deliver parts of the Service. A list of material subcontractors may be provided upon request.

18. Modifications to Service and Terms

We may update or modify the Service, documentation, or these Terms from time to time. Changes will take effect upon posting on our website or via email notification. Continued use of the Service after such updates constitutes acceptance.

19. Notices

20. Governing Law and Dispute Resolution

These Terms and any dispute arising under them are governed by the laws of Bulgaria, without regard to conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the Bulgarian courts.

21. Entire Agreement

These Terms, along with any referenced Statements of Work or Service Orders, constitute the entire agreement between you and Tesseract Intelligence. They supersede all prior agreements or understandings related to the Service.
